1. Company Operations and Scope

Vextor Industrial Solutions operates strictly as a dedicated industrial supply and procurement provider. We specialize in sourcing and distributing mechanical, instrumentation, electrical, chemical, and cathodic protection products for the energy sector. We do not provide engineering design, installation, calibration, or site labor of any kind. Our sole responsibility is the compliant sourcing and delivery of materials.

2. Direct Sourcing Model

We operate on a direct-sourcing model from global manufacturers. We do not hold local stock. All lead times, delivery schedules, and minimum order quantities (MOQs) are dependent on OEM production schedules and international freight dynamics.

3. Quotations and Commercial Terms

• All Requests for Quotation (RFQs) are subject to review. A submitted RFQ does not constitute a binding contract.
• Prices and delivery timelines provided in our official commercial proposals are subject to change due to volatile international freight rates, raw material costs, or route closures.
• Final commercial terms, including applicable Incoterms (e.g., EXW, FOB, CIF), will be explicitly defined in the final Purchase Order (PO) and Proforma Invoice.

4. Compliance and Documentation

We guarantee that all supplied equipment is sourced from audited manufacturers and meets the specifications outlined in the agreed PO. Relevant traceability documentation, such as EN 10204 3.1 Mill Test Certificates (MTCs), ATEX/IECEx certifications, and Material Safety Data Sheets (MSDS), will be provided alongside the shipment as required.

5. Warranties and Liability

• Pass-Through Warranty: Vextor Industrial Solutions passes through all original manufacturer warranties directly to the buyer. We make no independent warranties, express or implied, regarding the merchantability or fitness for a particular purpose of the supplied items.
• Limitation of Liability: Under no circumstances shall Vextor Industrial Solutions be held liable for indirect, incidental, or consequential damages, including loss of profits, downtime, or operational failures arising from the use or inability to use the supplied materials.

6. Force Majeure

Vextor Industrial Solutions shall not be liable for any delay or failure in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, global pandemics, international shipping disruptions, customs delays, or government actions.

7. Governing Law

These terms shall be governed by and construed in accordance with the corporate registration laws applicable to Vextor Industrial Solutions’ primary operating jurisdiction, without regard to conflict of law principles.
